TeamCare Partner Referral Program – Terms & Conditions

These Terms & Conditions (“Agreement”) govern participation in TeamCare’s Partner Referral Program (“Program”) and set forth the rights, responsibilities, and expectations between TeamCare, Inc. (“TeamCare,” “we,” “our,” or “us”) and the referring Partner (“you,” “your”). By applying to and participating in the Program, you agree to these Terms.
1. Program Overview
The TeamCare Partner Referral Program allows approved partners to refer new customers to TeamCare in exchange for commission payments as outlined in this Agreement.
2. Partner Eligibility & Approval
2.1 Application & Approval
Partners must submit an application via Partnero and provide accurate business details.
TeamCare reserves the right to approve or decline any application at its sole discretion.
2.2 Partner Responsibilities
Partners must comply with all applicable laws, regulations, and ethical marketing practices.
Misrepresentation of TeamCare’s products, pricing, or brand is strictly prohibited.
3. Referral Process & Commission Structure
3.1 Referral Qualification
A referral is considered qualified if:
The referred company is not an existing TeamCare customer.
The referral signs a paid agreement with TeamCare within 90 days of being submitted.
3.2 Commission Payment
Partners receive 20% of the first 12 months of the referred customer’s agreement.
Commission is paid as the client pays TeamCare (e.g., monthly, quarterly).
If the referred customer cancels or defaults, no future commissions will be owed.
3.3 Payment Process
Payouts are made via Stripe on a monthly basis, provided the minimum payout amount is met.
Partners are responsible for any applicable taxes on commission payments.
4. Handoff & Partner Involvement
4.1 Referral Submission & Tracking
Partners must submit referrals via Partnero using the provided tracking system.
TeamCare will provide updates on referral status through the Partner Portal.
4.2 Customer Handoff to TeamCare
Once a referral is submitted, TeamCare’s sales team will take over communication.
Partners may not negotiate contracts, pricing, or commitments on behalf of TeamCare.
4.3 Optional Partner Involvement
While not required, partners are encouraged to assist in warm introductions and early-stage conversations.
Continued partner involvement beyond the introduction is subject to TeamCare’s discretion.
5. Confidentiality
5.1 Confidential Information
Both parties acknowledge that, during the course of this Program, they may exchange confidential information, including but not limited to:
Business plans, pricing models, marketing strategies, and customer data.
5.2 Obligation of Confidentiality
Partners agree to:
Maintain the confidentiality of any non-public TeamCare information.
Not disclose or use confidential information for any purpose other than participation in the Program.
5.3 Exceptions
This obligation does not apply to information that:
Becomes publicly available through no breach of this Agreement.
Is disclosed by the other party with written consent.
Is required to be disclosed by law (with prior notice to the disclosing party).
5.4 Duration of Confidentiality Obligation
This obligation remains in effect for two (2) years following the termination of this Agreement.
6. Marketing & Brand Guidelines
Partners may use approved TeamCare marketing materials provided in the Partner Portal.
Partners may not:
Modify or create misleading promotional materials.
Bid on TeamCare-branded search terms in paid advertising.
Misrepresent TeamCare’s offerings or pricing.
7. Termination & Modifications
7.1 Termination by Either Party
Either party may terminate this Agreement with 30 days’ written notice.
TeamCare may terminate immediately for fraudulent activity, non-compliance, or misrepresentation.
7.2 Effect of Termination
No new referrals will be accepted after termination.
Outstanding, eligible commissions will be paid for referrals made before termination.
7.3 Program Changes
TeamCare reserves the right to modify or discontinue the Program at any time, with reasonable notice to partners.
8. Limitation of Liability & Dispute Resolution
TeamCare is not liable for any indirect, incidental, or consequential damages related to this Program.
Any disputes must be resolved through binding arbitration in [Your Jurisdiction], per local laws.
9. Acceptance of Terms
By submitting a Partner application or referring a customer, you agree to these Terms.
