Malibu English Camp Affiliate Program Agreement

PLEASE READ THIS AFFILIATE PROGRAM AGREEMENT CAREFULLY. This is a legal contract between you (the “Affiliate”) and Interglobal Los Angeles LLC dba Malibu English Camp (“Company,” “we,” or “us”). By participating in our Affiliate Program, you agree to be bound by the terms and conditions set forth below .
1. Definitions
Affiliate: The individual or entity applying to participate in the program.
Affiliate Link: Unique tracking links provided by Malibu English Camp to the Affiliate to promote our services .
Customer: An individual who registers for a Malibu English Camp program after clicking an Affiliate Link .
Customer Transaction: A completed purchase of a camp program by a Customer that is eligible for Commission .
Commission: The fee paid to the Affiliate for each valid, nonrefunded Customer Transaction .
2. Enrollment and Acceptance
To begin the enrollment process, you must complete an affiliate application. We will review your application and notify you of your acceptance or rejection. We reserve the right to reject any application at our sole discretion, particularly if your website or promotional methods are deemed inappropriate or inconsistent with our brand values .
3. Affiliate Links and Promotion Rules
3.1 Approved Channels
Affiliates may place Affiliate Links on their own verified websites, social media profiles, and email newsletters .
3.2 Prohibited Activities
Spamming: You may not use unsolicited mass emails or "spammy" forum posts to promote Malibu English Camp .
PPC Restrictions: Affiliates are prohibited from bidding on branded keywords (e.g., "Malibu English Camp") in search engine marketing (Google Ads, etc.) to avoid competing with the Company’s own marketing efforts .
Deceptive Marketing: You must not make false or unsubstantiated claims about Malibu English Camp programs .
4. Commission and Payment Terms
4.1 Commission Calculation
Commissions are calculated as a percentage of the net sale amount of a Customer Transaction.
4.2 Refund and Cancellation Policy (Crucial)
PostRefund Period Payment: To ensure the validity of a sale, Commission payments will only be processed after the applicable refund period has passed for the referred Customer .
No Commission on Refunds: If a Customer requests and receives a refund for a camp program, no Commission will be paid on that transaction. If a Commission has already been credited to your account for a sale that is later refunded, Malibu English Camp reserves the right to deduct that amount from your future payouts .
4.3 Payment Schedule
Payments are typically issued on a monthly or quarterly basis, provided the Affiliate has met the minimum payout threshold defined in the Affiliate Tool .
5. Intellectual Property and Content Rights
5.1 Limited License
Malibu English Camp grants the Affiliate a nonexclusive, revocable, nontransferable license to use our trademarks, logos, and promotional materials solely for the purpose of promoting the camp under this agreement .
5.2 AffiliateCreated Content
By participating, the Affiliate grants Malibu English Camp a royaltyfree, nonrevocable license to reuse or repost any marketing content created by the Affiliate (e.g., reviews, videos, or social posts) for the Company’s own marketing purposes .
6. Compliance and Disclosures
6.1 FTC Disclosures
Affiliates must clearly and conspicuously disclose their relationship with Malibu English Camp on any page where an Affiliate Link is present. This includes statements such as: "As an affiliate, I earn a commission from qualifying purchases" .
6.2 Data Privacy
Affiliates must comply with all applicable data privacy laws, including GDPR, CCPA, and PIPEDA, when collecting any information from potential leads .
7. Term and Termination
7.1 Termination at Will
Either party may terminate this agreement at any time, with or without cause, by providing written notice to the other party .
7.2 Immediate Termination
Malibu English Camp reserves the right to terminate this agreement immediately and forfeit any unpaid Commissions if the Affiliate breaches any terms of this agreement, engages in fraud, or damages the Company’s reputation .
8. Limitation of Liability and Indemnification
8.1 Limitation of Liability
Malibu English Camp’s aggregate liability to the Affiliate shall not exceed the total Commissions paid to the Affiliate in the twelve (12) months preceding the event giving rise to a claim .
8.2 Indemnification
The Affiliate agrees to indemnify and hold harmless Interglobal Los Angeles LLC dba Malibu English Camp and its affiliates, and Pepperdine University and its affiliates, from any claims, damages, or legal fees arising from the Affiliate’s promotional activities or breach of this agreement .
9. Dispute Resolution and Governing Law
This agreement shall be governed by the laws of the jurisdiction in which Malibu English Camp is headquartered. Any disputes arising from this agreement shall be resolved through binding arbitration or in the local courts of that jurisdiction .
10. Amendments
We may update these terms at any time. Continued participation in the Affiliate Program after a change constitutes acceptance of the new terms. We recommend reviewing this document periodically .
By applying to the Malibu English Camp Affiliate Program, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
