These Terms and Conditions constitute a legally binding agreement between XPRESS CODERS LTD, a company incorporated in England and Wales with registration number 13531927 and registered office at 27 Old Gloucester Street, London WC1N 3AX, United Kingdom (“Company”, “we”, “us”, “our”), and you, the individual or entity applying for or participating in the Program (“Partner”, “you”).
1. Definitions
1.1 “Program” means the CosmosTune Partner Program.
1.2 “Net Revenue” means the amount actually received by the Company after deduction of platform fees (including Apple App Store and Google Play commissions of 15–30%), value-added tax, goods and services tax, sales tax, refunds, chargebacks, currency conversion fees, payment processor fees, and any other statutory or contractual deductions.
2. Enrollment and Approval
2.1 Enrollment is subject to the Company’s prior written approval, which may be withheld or revoked at any time in its absolute discretion without liability or obligation to provide reasons.
2.2 You represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction) and have full legal capacity to enter into this Agreement.
3. Partner Obligations
You shall:
3.1 Promote the Company’s products only in a lawful, ethical, and non-misleading manner and in full compliance with all applicable laws, regulations, and platform policies in every jurisdiction in which you operate, including without limitation the UK Advertising Standards Authority rules, US Federal Trade Commission guidelines, EU consumer protection legislation, and equivalent authorities worldwide.
3.2 Clearly and conspicuously disclose your material connection to the Company in every promotion (e.g., “#ad”, “#affiliate”, or equivalent wording required by local law).
3.3 Refrain from bidding on the Company’s trademarks or misspellings thereof in paid search or social advertising without prior written consent.
3.4 Refrain from using the Company’s trademarks in domain names, sub-domains, social media handles, or display URLs.
3.5 Never engage in, solicit, or incentivise false, fraudulent, or manipulated App Store, Google Play, or third-party reviews.
3.6 Never generate or procure traffic through spam, bots, cookie-stuffing, forced clicks, incentivised installs, self-referrals, or any other fraudulent or prohibited method.
4. Commission Structure
4.1 Commission rates are applied to Net Revenue only and are expressed in USD equivalents. Current rates (subject to clause 10):
(a) Monthly subscription: 30% recurring for the lifetime of the subscription
(b) Yearly subscription: 30% for the first 12 months + 15% on subsequent renewals
(c) Lifetime licence: USD 80 flat commission
4.2 Tiered performance bonuses: +5% for 100+ qualified sales per month; +10% for 500+ qualified sales per month.
4.3 No commission is payable on fraudulent, refunded, chargebacked, or otherwise invalid transactions.
5. Tracking and Payment
5.1 Referrals are tracked via Partnero with a 30-day cookie period using a last non-direct click attribution model.
5.2 The Company’s internal accounting records constitute the sole and definitive source of truth for all commission calculations. Any figures displayed in Partnero are indicative only.
5.3 The Company reserves the right to correct overpayments at any time by deduction from future payments or by invoice (payable within 30 days). Underpayments will be rectified in the next payment cycle.
5.4 Payments are made monthly via PayPal or Wise, subject to a minimum threshold of USD 50 (or currency equivalent) and after all applicable withholding taxes.
5.5 The Company may withhold, deduct, or delay payment for up to 180 days in cases of suspected fraud, unusually high volume, or pending refunds/chargebacks. Negative balances roll forward indefinitely.
6. Prohibited Conduct – Immediate Termination Events
Any of the following shall constitute material breach entitling the Company to immediate termination, forfeiture of all earned and unpaid commissions, permanent exclusion from the Program, and potential further legal remedies:
6.1 Fraudulent traffic, bot-generated users, or self-referrals
6.2 Manipulation or incentivisation of App Store/Google Play reviews
6.3 Violation of any applicable advertising or consumer protection law
6.4 Use of the Company’s trademarks in paid search without authorisation
6.5 Any act likely to harm the Company’s reputation or relationship with Apple, Google, or payment processors
7. Intellectual Property
7.1 The Company grants you a limited, revocable, non-exclusive, non-transferable licence to use approved promotional materials solely for the purposes of this Program. All rights revert immediately upon termination.
8. Termination
8.1 Either party may terminate this Agreement at any time with or without cause by written notice.
8.2 Upon termination, all referral links will be deactivated and you must immediately cease all promotional activity.
8.3 The Company may withhold final payment for up to 180 days to account for refunds, chargebacks, and audits.
9. Limitation of Liability and Indemnification
9.1 To the maximum extent permitted by law, the Company’s total liability under this Agreement shall not exceed the commissions paid to you in the preceding 12 months.
9.2 You shall indemnify, defend, and hold harmless the Company and its officers, directors, and employees from and against any claims, losses, damages, or expenses arising from your breach of this Agreement or your promotional activities.
10. Amendments
10.1 The Company may amend these Terms at any time. Material changes will be notified by email at least 14 days in advance. Continued participation following such notice constitutes acceptance of the amended Terms.
11. Governing Law and Jurisdiction
11.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
11.2 The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
12. Miscellaneous
12.1 You may not assign this Agreement without the Company’s prior written consent. The Company may assign freely.
12.2 If any provision is held invalid, the remainder shall continue in full force and effect.
12.3 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
By applying to or participating in the Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.
