Affiliate Terms and Conditions 1.1 About these Terms These Terms govern participation in the Lotessa Refer & Earn Programme operated by Lotessa Digital Health Ltd. By registering for an affiliate account, accessing the partner portal, using a Lotessa referral link or promotion code, or promoting Lotessa, the affiliate agrees to these Terms and all policies incorporated into them. 1.2 Eligibility Affiliates must be at least 18 years old, provide accurate registration and payment information, have legal capacity to enter into these Terms, and comply with the laws and platform rules applicable to their promotional activity. Lotessa may refuse, restrict, suspend or close participation where it reasonably considers that eligibility, identity, safety, compliance, reputation or fraud concerns arise. 1.3 Instant registration Registration provides immediate access and does not amount to a guarantee of continued participation. Lotessa may review any affiliate and their promotional channels at any time. Lotessa may request additional information, impose conditions, restrict particular promotion methods or suspend an account while concerns are investigated. 1.4 Affiliate relationship The affiliate acts as an independent contractor. Nothing creates an employment, worker, agency, partnership, franchise, joint venture or representative relationship. The affiliate has no authority to bind Lotessa, make commitments on its behalf, provide medical advice on its behalf or represent that Lotessa has approved personal views or claims. 1.5 Referral links and promotion codes Affiliates must use only referral links and promotion codes issued or authorised by Lotessa through Partnero. Links and codes must not be manipulated, hidden, automatically inserted, redistributed through unauthorised sub-affiliate networks or used in a way that interferes with another publisher’s attribution. 1.6 Commission At launch, the affiliate may earn £10.00 for each approved new Yearly subscription attributed to the affiliate. Starter, Monthly and Lifetime plans, renewals and other events are non-commissionable unless Lotessa states otherwise in writing. Lotessa may change commission rates, eligible products, validation periods, payment thresholds or programme structure by giving reasonable notice through email or the partner portal. 1.7 Validation All commission is pending until validated. Lotessa may decline, cancel or reverse commission associated with refunds, cancellations, payment disputes, chargebacks, duplicate accounts, self-referrals, existing customers, prohibited traffic, non-compliant content, technical errors, fraud, abuse or transactions that do not meet the published eligibility rules. 1.8 Payment Approved commission is paid monthly when the affiliate’s approved balance reaches the published minimum payout threshold. Affiliates must maintain accurate payout information. Lotessa is not responsible for delay caused by incorrect details, payment provider restrictions, identity checks, sanctions screening or circumstances outside Lotessa’s reasonable control. 1.9 Taxes Affiliates are responsible for determining and meeting their own tax, National Insurance, VAT, accounting and reporting obligations. Lotessa may request information or documentation reasonably required to administer payments or meet legal obligations. 1.10 Promotion standards Affiliates must comply with the Approved Messaging and Health Claims Policy, Traffic and Promotion Policy, Affiliate Disclosure Policy, Brand and Creative Asset Rules, and all applicable laws, advertising codes and platform policies. Affiliates must not make misleading, unsubstantiated, unsafe, discriminatory, offensive or reputationally harmful statements. 1.11 Health and medicine restrictions Affiliates must promote Lotessa as a digital health tracking, education and support app. They must not advertise prescription-only medicines, recommend medicines or doses, encourage treatment changes, give clinical advice, guarantee weight loss or health outcomes, claim that Lotessa diagnoses, treats, prevents or monitors a medical condition, or imply that Lotessa replaces a clinician, pharmacist or prescriber. 1.12 Paid advertising and restricted traffic Paid search, paid social advertising, retargeting, whitelisting, brand bidding, competitor bidding, medicine keyword bidding, voucher traffic, cashback, browser extensions, toolbar traffic, sub-affiliate networks, unsolicited messages, cookie stuffing and incentivised traffic are prohibited unless Lotessa has given prior written permission for the specific activity. 1.13 Disclosures Affiliates must ensure that promotional content is obviously identifiable as advertising from the first interaction. Disclosures must be prominent, timely, understandable and appropriate to the format. Platform tools may be used, but the affiliate remains responsible for clarity. 1.14 Brand and intellectual property Lotessa grants a limited, revocable, non-exclusive and non-transferable permission to use approved Lotessa brand assets solely for compliant promotion under the programme. Affiliates must not register confusingly similar domains, social handles, company names, trademarks, app listings or paid-search terms, alter the logo, impersonate Lotessa or create the impression of an official Lotessa account. 1.15 Content ownership Affiliates retain ownership of content they create, subject to third-party rights. By sending content to Lotessa or tagging Lotessa in programme content, the affiliate grants Lotessa a non-exclusive, worldwide, royalty-free licence to review, reproduce and share that content for programme administration and marketing, unless the affiliate clearly states otherwise in writing. Lotessa should obtain separate express permission before using an affiliate’s image in paid advertising. 1.16 Records and cooperation Affiliates must keep reasonable records of promotional activity and provide links, screenshots, audience or traffic information, and disclosure evidence when Lotessa reasonably requests them. Affiliates must cooperate with compliance reviews and correct or remove content within the deadline specified by Lotessa. 1.17 Suspension and termination Lotessa may warn, restrict, suspend or terminate an affiliate account immediately where there is suspected fraud, unlawful conduct, medicine promotion, serious misleading claims, brand impersonation, unauthorised paid advertising, repeated non-compliance, failure to correct content, abusive conduct or material risk to users or Lotessa. In less serious cases, Lotessa will normally provide an opportunity to correct the issue. 1.18 Effect of termination On termination, the affiliate must stop using referral links, promotion codes and Lotessa assets and remove content where requested. Valid approved commission earned before termination may remain payable, but Lotessa may withhold, decline or reverse amounts connected with the breach or while an investigation is ongoing. 1.19 Changes to the programme Lotessa may amend these Terms, the programme, commission structure or policies. Material changes will be communicated through email or the partner portal with an effective date. Continued participation after that date constitutes acceptance. Where an affiliate does not agree, they must stop promoting Lotessa and close their account. 1.20 Liability Nothing excludes liability that cannot lawfully be excluded. Subject to that, Lotessa is not liable for indirect or consequential loss, loss of profit, loss of opportunity, platform downtime, tracking failure outside its reasonable control or losses arising from the affiliate’s breach. Lotessa’s aggregate liability arising from the programme is limited to unpaid valid commission due to the affiliate in the six months before the event giving rise to the claim. 1.21 Governing law These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless mandatory consumer or local law provides otherwise. 1.22 Contact Questions, notices and compliance concerns should be sent to the affiliate support email stated in the partner portal.
